Affiliate Program Terms of Use

These Affiliate Program Terms of Use ("Agreement") govern your participation in the Sinisa Dagary Affiliate and Referral Program ("Program"). By submitting an application or participating in the Program, you agree to be bound by these terms. This Agreement is between you ("Affiliate", "you") and Sinisa Dagary ("we", "us", "our").

1. Enrollment and Approval

To join the Program, you must submit a complete application via one of our platforms: sinisadagary.com, Investra.io, Slaff.io, or Unifyr.space. We evaluate all applications in good faith and reserve the right to accept or reject any application at our sole discretion. Applications may be rejected if we determine them to be unsuitable for the Program for any reason, including but not limited to content, audience, or promotional methods that conflict with our values or guidelines.

2. Affiliate Tier System

We operate a multi-tier affiliate system. Your tier determines your commission rates and benefits:

Bronze Tier: Entry-level tier for newly approved Affiliates. Eligible for base commission rates across all active product categories.
Silver Tier: Mid-level tier unlocked upon reaching defined referral or revenue thresholds. Includes increased commission rates and priority support access.
Gold/VIP Tier: Top-level tier for high-performing Affiliates. Includes premium commission rates, dedicated account management, co-marketing opportunities, and early access to new products.

Specific thresholds and benefits for each tier are detailed in your Affiliate Dashboard and are subject to change with 30 days' notice.

3. Affiliate Commission Structure

As an approved Affiliate, you are eligible to earn commissions on the following categories:

Sales & Consulting: Commissions earned on successfully referred clients who purchase consulting services, coaching packages, or digital products through sinisadagary.com.
Real Estate (Investra.io): Commissions earned on property transactions, investment deal referrals, and tokenized real estate purchases facilitated through Investra.io.
Daily Bookings: Commissions earned on recurring or one-time booking services referred through applicable platforms, including short-term rental and hospitality services.
Licenses & Franchises: Commissions earned on referrals that result in the signing of a license agreement or franchise deal under any of our brands.

Specific commission percentages per category and tier are displayed in your Affiliate Dashboard.

4. Commission Payment Schedule & Method

Commissions are paid according to the following terms:

Payout Threshold: A minimum balance of EUR 50.00 must be reached before a payout is issued. Balances below this threshold carry over to the following month.
Payment Schedule: Commissions are paid monthly, by the 15th day of the following month, for all confirmed and non-refunded transactions from the prior month.
Payment Methods: Bank Transfer (SEPA/SWIFT), PayPal, or Stripe. You must provide accurate payment details in your Affiliate Dashboard. We are not responsible for failed payments due to incorrect information.
Currency: All commissions are paid in Euros (EUR). Currency conversion, if applicable, is at the prevailing rate and any associated fees are borne by the Affiliate.

5. Cookie Tracking Window

Our standard cookie tracking window is 90 days. This means:

Attribution: If a user clicks your unique affiliate link and completes a qualifying purchase within 90 days of that click, the commission is credited to your account.
Last-Click Attribution: We use a last-click attribution model. If the user clicks multiple affiliate links before purchasing, the commission is credited to the Affiliate whose link was clicked most recently before conversion.

Cookie tracking may be affected by browser settings, private browsing modes, or cookie-blocking software. We are not liable for untracked conversions resulting from such conditions.

6. Chargeback & Refund Policy

Commissions are earned only on completed, non-refunded transactions. The following applies:

Refund or Chargeback Deduction: If a referred customer requests a refund or initiates a chargeback, the associated commission will be deducted from your account, regardless of whether it has already been paid out.
Negative Balance: If a deduction results in a negative commission balance, that deficit will carry over and be deducted from future earnings before any new payout is processed.

7. Sub-Affiliate Program (Multi-Level)

For specific platforms such as Investra.io, we operate a multi-level referral structure. Where applicable:

Refer Other Affiliates: You may refer other individuals to join the Program using your unique referral link.
Override Commission: You may earn an override commission on the sales generated by Affiliates you successfully refer, as detailed in your Dashboard.
Sub-Affiliate Compliance: You are responsible for ensuring that any Affiliates you refer are aware of and comply with this Agreement. Violations by your referred Affiliates may impact your account status.

8. Data Protection and GDPR Compliance

If you collect or process personal data from potential referrals as part of your promotional activities, you act as an independent Data Controller under applicable data protection law. You must:

Obtain Explicit Consent: Ensure you have a lawful basis (such as explicit consent) for collecting and processing personal data from individuals you market to.
Disclose Your Identity: Clearly state your identity and your affiliate relationship with us in all communications and promotional materials.
Provide Opt-Out Options: Include a clear and easy mechanism for recipients to opt out of or unsubscribe from your communications at any time.

Your personal data provided to us during Program participation is governed by our GDPR Privacy Notice, available on our website.

9. Tax Responsibility

You are an independent contractor, not an employee, agent, partner, or joint venture of Sinisa Dagary. You are solely responsible for all taxes arising from your participation in the Program, including but not limited to Income Tax, VAT, and Sales Tax. We are not responsible for withholding, collecting, reporting, or remitting any taxes on your behalf. You agree to indemnify and hold us harmless from any tax liabilities, penalties, or claims arising from your failure to meet your tax obligations.

10. Promotional Methods and Restrictions

You agree to promote our products and services ethically, honestly, and in compliance with all applicable laws. The following practices are strictly prohibited and will result in immediate termination of your account and forfeiture of all unpaid commissions:

PPC Bidding Restrictions: Bidding on our brand names, trademarks, or any variations thereof in paid search campaigns (e.g., Google Ads, Bing Ads) is prohibited without our prior written consent.
Cookie Stuffing: Artificially inflating clicks or impressions through automated means, iframes, or any method that places affiliate cookies on a user's browser without their genuine interaction with your content is strictly forbidden.
Self-Referrals: Using your own affiliate link to make purchases for yourself, or for entities you control, is prohibited.
Spam & Unsolicited Marketing: Sending unsolicited commercial emails (spam), SMS blasts, or any form of mass unsolicited communication in violation of applicable laws (including CAN-SPAM, GDPR, or CASL) is forbidden.
Misrepresentation: Making false, misleading, or exaggerated claims about our products, services, pricing, results, or business in any marketing material is prohibited. You may not impersonate Sinisa Dagary or any of its brands.

11. Affiliate Code of Conduct

As a representative of our brand, you agree to uphold a standard of professional conduct. Specifically, you must not:

Post negative, disparaging, or defamatory comments about our competitors in association with our brand.
Use discriminatory, offensive, hateful, or sexually explicit language or imagery in any promotional material associated with our Program.
Engage in any marketing practices that, in our sole judgment, could damage the reputation or goodwill of Sinisa Dagary or any of its associated brands.

12. Intellectual Property & Brand Usage

We grant you a non-exclusive, non-transferable, revocable, limited right to use our approved logos, trademarks, and marketing materials solely for the purpose of promoting the Program. Subject to this right:

You may not alter, distort, modify, or create derivative works of any of our logos or brand assets.
You may not register any domain names, social media handles, or business names that include our brand names or any confusingly similar variations.
You must clearly indicate your "Affiliate" or "Partner" status in all promotional content and must not imply that you are an employee or official spokesperson of our company.

13. Promotional Material Approval Process

Any custom promotional materials you create that feature our brand assets, trademarks, or product information must be submitted for our review and approval prior to publication. To submit materials, contact us at info@sinisadagary.com. We will review and respond within 5 business days. Publishing unapproved materials may result in immediate suspension of your affiliate account pending review.

14. Fraud Prevention & Monitoring

We actively monitor all affiliate activity to detect and prevent fraudulent behaviour. We reserve the right to delay the payment of any commission by up to 60 days if we have reasonable suspicion of fraudulent activity related to that commission. If fraudulent activity is confirmed, your account will be terminated immediately, all unpaid commissions will be voided, and we reserve the right to seek recovery of any commissions already paid out as a result of fraud.

15. Affiliate Dashboard & Reporting

Upon approval, you will be granted access to your Affiliate Dashboard, which provides real-time metrics including clicks, conversions, earned commissions, and payment status. Our tracking software is the final and binding authority on all click, conversion, and commission data. In the event of a discrepancy between your own tracking tools and our records, our records will prevail.

16. Dispute Resolution for Commissions

If you believe a commission has been incorrectly recorded or omitted, you must submit a written dispute within 30 days of the relevant payout period. Disputes should be sent to info@sinisadagary.com with full supporting details. We will review and communicate our determination within 14 business days of receiving the dispute. Claims submitted after the 30-day window will not be considered.

17. Non-Compete & Exclusivity

This Agreement is non-exclusive. You are free to participate in other affiliate or referral programs, provided that doing so does not result in a violation of any confidentiality obligations under this Agreement, or in the misrepresentation of our products or services. We similarly reserve the right to work with other Affiliates and to promote our products through any channel we choose.

18. Compliance with Advertising Standards

You agree to comply with all applicable advertising laws, regulations, and industry standards, including but not limited to:

FTC Endorsement Guides (USA): You must clearly and conspicuously disclose your affiliate relationship whenever promoting our products to a US audience.
ASA/CAP Code (UK): You must follow the UK's Advertising Standards Authority guidelines for all marketing directed at a UK audience.
EU Unfair Commercial Practices Directive: All promotional activities directed at consumers within the European Union must comply with applicable EU consumer protection and advertising law.

19. Confidentiality

In the course of your participation in the Program, you may gain access to confidential information, including but not limited to commission rates, internal product pricing, business strategies, and technical data. You agree to keep all such information strictly confidential and not to disclose it to any third party without our prior written consent. This obligation survives the termination of this Agreement.

20. Affiliate Support & Communication

Affiliate support is available through our online ticketing system or via email at info@sinisadagary.com. We aim to respond to all support enquiries within 2 business days. For urgent matters, please mark your subject line as "URGENT - Affiliate Support".

21. Program Changes & Notification

We reserve the right to modify any aspect of this Agreement, including commission structures, tier thresholds, and payment terms, at any time. For material changes, we will provide at least 30 days' notice via email to your registered address or via a notification in your Affiliate Dashboard. Your continued participation in the Program following the effective date of any change constitutes your acceptance of the updated terms.

22. Termination

Either party may terminate this Agreement at any time by providing written notice to the other party. Upon termination, you must immediately remove all of our promotional materials, links, and brand assets from your channels. Payout of any validly earned commissions will be subject to the minimum payout threshold, the applicable refund hold period, and confirmation that no outstanding violations or fraud investigations are pending.

23. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your participation in the Program, including loss of revenue, loss of profits, or loss of business opportunity. Our aggregate liability to you under this Agreement shall not exceed the total commissions paid or payable to you in the three months immediately preceding the event giving rise to the claim.
